DISTANT SALES AGREEMENT

1. INTRODUCTION

This document (together with all other documents mentioned below) specifies the terms and conditions for the use of the website and the purchase of products through this website (hereinafter referred to as the "Terms"). Before using the customer's website, we must read the Terms, Cookie Policy and Privacy Policy (all collectively referred to as "Data Privacy Policy"). When you use this website or place an order through our website, you obviously declare that you consent these conditions and the Data Privacy Policy. If the customer does not agree to all the Terms and the Data Privacy Policy, he/she should never use the website. The Terms of Use hereby and Data Privacy Policy may be changed. It is the Customer's responsibility to read them regularly and the Terms and Data Privacy Policy will be put intoeffect when Customer uses the Website or creates a Contract as described below.

3. YOUR INFORMATION AND VISITS ON THE INTERNET SITES

The customer needs to share personal information in order to purchase the desired product. RYDER ACT. The information or personal data you share with us is processed in accordance with the Data Privacy Policy. When the customer uses the website, he/she acknowledges RYDER ACTs processing of this information and personal data and confirms that all the information shared in this site is true and correct. If the customer declares his/her interest clearly to RYDER ACT, RYDER ACT may inform him/her via e-mail and / or SMS about the latest collections, catalogues, campaigns and special offers.

4. USE OF THE INTERNET SITES

By placing an order through the internet site and / or through the internet site; Customeragrees;

1. to use the internet site solely for legitimate requests or orders,

2. that he/she will never place unrealistic, unfounded or counterfeit orders; RYDER ACT has the right to cancel the order and notify the relevant authorities of the matter having a reasonable opinion that such an order has been made,

3. to provide accurate and up-to-date e-mail, address and/or other contact information and,acknowledges that RYDER ACT may use this information if necessary. (See the Data Privacy Policy). If the customer does not give RYDER ACT all the information needed to complete the order, RYDER ACT may not complete the order. Customer agrees that upon placing an order through the internet site, he/she has completed at least 18 years of age and is legally able to establish a contract with an appeal.

5. USABILITY OF THE SERVICES

These products presented on the website are deliverable only within the territory of the Republic of Turkey.

6. SETTLEMENT OF THE CONTRACT

To place an order, the customer must follow the online procurement process and click on "Confirm Payment". After doing so, Customer will receive an email confirming that the order has been received ("Order Confirmation"). In a second subsequent email, Customer is notified that the order has been accepted and is being sent ("Delivery Confirmation"). If such confirmation is not made available to the Customer by RYDER ACT, the Contract shall be deemed not to have been established.

7. AVAILABILITY OF PRODUCTS

All orders depend on whether they are available in stock. If there is a supply problem or the product is no longer in stock, RYDER ACT reserves the right to give information about substitute products of similar or different category that the customer can order. If the customer does not wish to order substitute products, RYDER ACT returns the amount he/she paid for the undesirable substitute product

8. REJECTION OF ORDER

RYDER ACT reserves the right to withdraw any product from the website and/or remove or correct any material or content on the internet site. RYDER ACT at any time reserves the right to refuse to fulfil or accept the order if an unusual situation arises after an order has been placed or after the RYDER ACT confirm the order even if he will make all reasonable efforts to process all orders submitted to him. RYDER ACT shall not be liable to Customer or any third party for any failure since it removes or corrects any material or content from the website, or refuse to confirm any order, or refuse to fulfil it after receiving any order or sending the confirmation of the order.

9. DELIVERY

As long as there is no unusual condition, RYDER ACT, depending on the availability (see item 7 above) delivers the orders for products listed on the Delivery Confirmation up to the delivery date specified in the Delivery Confirmation, orders without the estimated delivery date within maximum 30 days.

If the supply of the products is delayed due to a condition beyond the control of RYDER ACT, RYDER ACT notifies the customer of the situation as soon as possible and takes precautions to minimize the effect of the delay.

RYDER ACT will not be responsible for delays caused by circumstances beyond its control. However, if there is a very serious risk of delay, Customer may terminate the Contract by reaching RYDER ACT. Customer may withdraw payment for products for which he has paid but has not received delivery. The virtual gift card will be sent to Customer on the date specified by Customer while placing the order.

Delivery is not available on Saturdays, Sundays or public holidays other than the virtual gift card to be delivered on the date determined by the customer.

When the customer chooses this delivery service, he accepts to receive the delivery staff or the representative of RYDER ACT. RYDER ACT requests that you remove any items that may damage your property or accept delivery personnel to your home as best as possible in order to prevent or mitigate the risk of harm to the customer's home or property. RYDER ACT cannot be held responsible. for situations where reasonable precautions can be taken to prevent or minimize risk, and where goods may be removed safely as long as they do not arise from negligence of RYDER ACT.

In the context of these Terms and Conditions, Customer or a third party must have a third party designated by the Customer must have received to be the customer or the possession of the goods in order that the product for "delivery" or "delivery" to occur, which can be proved by signing the receipt of the products at the delivery address specified. 10. NON-DELIVERY STATUS

If delivery is not possible, the product (s) will be returned to the warehouse and Customer will be informed of where the product is to be placed and how to reconfigure delivery. If the customer is not available at the delivery time agreed by both parties, RYDER ACT re-arranges the delivery on another eligible day.

If the delivery will not take place due to a reason not originating from RYDER ACT and Customer will not contact RYDER ACT within 15 (fifteen) days following, the Contract may be terminated by betting that Customer is in breach of the Contract. As a result of termination of the contract, RYDER ACT shall pay all charges received from Customer including all delivery charges (except for any additional costs arising out of any delivery method requested by Customer other than the usual delivery method provided by RYDER ACT.) 14 (fourteen)days after the termination of this Contract, in any case without notice to the Customer. Customer must bear in mind that the shipping process resulting from termination of the Contract may bring an additional cost and that RYDER ACT will have the right to reflect this cost to the Customer.

This article cannot be applied to the virtual gift card because the virtual gift cards are subject to the terms and conditions of the Gift Card and the provisions of Article 9 above.

11. RISK AND OWNERSHIP

RYDER ACT is reliable to all benefits and damages related to the products as far as Customer accepts the delivery is made by the carrier company determined by RYDER ACT.

The ownership of the products will pass to the Customer since the delivery of the goods at the customer's or delivery address concerned.

12. PRICE AND PAYMENT

The prices of the products are as specified in the website. Although RYDER ACT it does its best to make sure that all the prices on the internet site are correct, errors may arise in this regard. If there is an error in the price of the products ordered by the customer, RYDER ACT informs the customer as soon as possible and gives the customer the option to confirm the order at the correct price or to cancel the order. If RYDER ACT cannot reached the Customer, the amount paid for the products will be returned to the Customer, assuming the order has been cancelled. If the pricing error is obvious and definite and if it can be understood that the price of the product registered on the website is obviously incorrect price, RYDER ACT will not be obligated to complete the sales transaction from the customer (even after submitting a Delivery Confirmation to the Customer) at the wrong price (normally lower than necessary). The prices on the internet site include VAT and other taxes, but the delivery fee is not included and the total order amount will be found by adding the delivery fee to the total pricesas stated in the Shopping Directory. Prices may change at any time, but price changes will not affect orders if Customer is issued an Order Confirmation (except as noted above). For this reason, prices are not allowed to be rearranged for previous orders (except as noted above). When the customer has finished shopping, all the products he wants to buy are added to the shopping cart and the next step is finishing the order finishing and payment process. To do so, Customer must follow the steps in the purchasing process, completing or approving the requested information at each step. The Customer may also make changes to the order details during the purchasing process, prior to payment.

Information about the basic qualifications for the purchased product, the total price of the product including all taxes, the right to withdraw, the terms and conditions of use of this right, the method and the carrier for the return of the merchandise, or the exemption from the exception for withdrawal in case of Customer's inability to withdraw or to lose the right to withdraw under certain conditions, is submitted to the Customer in the form of an order summary after the order has been completed but before the payment is confirmed by the Customer.

The Shopping Guide contains detailed explanations of the procurement process. In addition, if Customer is a registered user, details of all orders of the Customer can be accessed through the "My Account" section.

Payments are made via credit cards and debit cards using the payment methods shown on the website and in the applications. In the same way, the Customer will pay all or some part of the order by a RYDER ACT gift card or a gift check written out by RYDER ACT TEXTILE CORPORATE SERVICES TOURISM INDUSTRY TRADE LTD. COMPANY for to be used only within Turkey.

The customer's credit card information is encrypted to prevent unauthorized access. When RYDER ACT receives the customer’s order, a proof is requested on the customer's card to confirm that there is sufficient available limit to complete the transaction. Collection of payment will be made only after the order is approved by RYDER ACT. When the Customer clicks on the "Payment Confirmation" button, it is deemed to have confirmed and approved that the credit card used is owned or is the legal conception of the gift card or credit card.

Credit cards are subject to verification and authorization by the card issuer; but if the Client does not give payment authorization to the issuing institution RYDER ACT, it will not be liable and it will not be possible to complete the Contract.

13. INVOICE

The invoice will be issued and the Customer will be sent with the products delivered at the latest. RYDER ACT reserves the right to apply other procedures in accordance with the e-billing / e-archive legislation in respect of invoices.

14. PAY NOW

Pay Now feature (hereinafter referred to as "Pay Now") makes it easy to shop on this website since the customer does not have to enter delivery, billing and payment information for every purchase. Pay Now is presented to the Customer's access in View Cart.

In order to use the Pay Now feature, the Customer must save the credit card and / or debit card information to be paid. The customer can select RYDER ACT by clicking on "Save card info" in any order when paying with any card accepted by. Thus the card number, the name of the cardholder as seen on the card, and the expiration date of the card are recorded.

The customer will need to agree to the Data Privacy Policy and Terms to register card information and use Pay Now.

When the customer agrees to use the Pay Now feature, he/she authorizes RYDER ACT to charge the amount from the card having this feature. Use of the card is subject to agreed conditions between the Customer and the card issuer in all cases.

 On Pay Now feature, the customer may save card information for as many cards as he wants, but he must have paid at least once with each one to do so. If the customer wants to save card information for more than one card, the most recently saved card will be the "Preferred Card" and will be charged for Pay Now purchases by default. However, the Customer may change the Preferred Card at any time in the My Account section of the website.

To use the Pay Now feature, all you have to do is to click the "Pay Now" button that appears in the Shopping Cart section. Immediately after the button is pressed, a screen with the delivery, billing and payment information for the purchase will appear. The information displayed on this screen cannot be changed, so if there is incorrect information on the screen, the customer should not complete the purchase. To make purchases using different information, the Customer must not use the Pay Now feature. The Preferred Card linked to Pay Now can be changed from the My Account section of the website.

15. PURCHASE WITHOUT MEMBERSHIP

 Purchasing products without registering on the Internet site is also possible. In such a procurement process, the Customer is only required to provide the information necessary for processing of the order. When the customer completes the procurement process, he or she is given the option to register as a user or continue as a user without registering.

16. VALUE ADDED TAX (VAT)

According to the regulation in force, all sales transactions made on the website are subject to Value Added Tax (VAT), except for applicable final exemptions subject to Customer's

17. DISCLAIMER AND DISCLAIMER

Nothing in this Agreement shall limit or exclude RYDER ACT.'s responsibility or retrieve you to perform RYDER ACT. All in any way limit or remove the liability of RYDER ACT in the following situations:

If it is obvious that a loss or damage will occur in the future, or if a Contract is made, both RYDER ACT and if the Customer knows that he / she can come to the funeral, for example, in the sales process, the Customer will do so on the RYDER ACT’s loss or damage may be foreseeable.

RYDER ACT will not be held liable for commercial losses. RYDER ACT is only for individuals and products for personal use. If the Customer uses any of the Products for any commercial, business or resale purpose, RYDER ACT shall not be liable to Customer for any loss of profits, loss of business, loss of business or loss of business, and Customer acknowledges and agrees not to hold RYDER ACT liable for business losses.

When you contract as a customer, RYDER ACT (i) the products are similar with the explanations given by RYDER ACT, (ii) the products are suitable for the usual use of similar products, and (iii) the products are made available in the form of products the products of the same kind normally have and expect to be reasonably expected of them.

RYDER ACT warrants that any product purchased by Customer from this website is of a satisfactory quality and is reasonably suited to all purposes for which such products generally operate. No other express or implied warranty with respect to the products on this website is the sole responsibility of RYDER ACT, except to the extent allowed by law, but legally excluded from the Customer. The products sold by RYDER ACT (including handmade products) have the natural characteristics of the materials used in the manufacture of thoseproducts. Natural properties such as texture, shape, stitches and colour variations should not be classified as errors or defects. The inconsistencies in these natural properties should be expected and reasonable. Although RYDER ACT chooses only the best quality products, natural properties are inevitable and the product should be regarded as a part of its appearance. Nothing in this material affects Customer's statutory rights or the right to withdraw from the Covenant.

18. RULES ON INTELLECTUAL PROPERTY RIGHTS

Customer agrees that all copyright, trademarks and other intellectual property rights in all material and content presented as part of the web site are always the property of RYDER ACT or its authorized agents. It permits Customer to use the content provided only as expressly authorized by RYDER ACT or its authorized agents. This does not preclude the Customer from using the internet site to the extent necessary to obtain a copy of any order or Agreement information.

19. VIRUSES, VIRTUAL CORRUPTION AND OTHER FATAL CRIME

Customer undertakes to avoid abuse of this website by intentionally uploading viruses, trojans, worms, logic bombs or other malicious or technologically harmful materials. The Client will not attempt to interfere with, tamper with, destroy or alter the data on this website, unauthorized access to any server, computer or database related to the server hosting this website or the internet site. The customer undertakes not to attack the website through denial of service attack or distributed denial of service attack. In the event of a breach of this provision, Customer may have committed a criminal offense under applicable legislation. RYDER ACT. Will notify the relevant judicial and administrative authorities of any such infringement and cooperate with the relevant authority to remove the identity of the virtual hijacker. Similarly, in the event of such a breach, Customer's right to use this website shall immediately cease.

RYDER ACT shall not be liable for any loss or damage caused by any service denial-of-attack, viruses or other software or material that is technically harmful to the Customer's computer, equipment, or any data or material resulting from the use of the Website, or from downloading such Content cannot be held responsible for damage.

20. INTERNET CONNECTION

It may be linked to third party internet sites or materials from RYDER ACT’s web site. These links are for informational purposes only, and the control or responsibility for the content of these websites or materials does not belong to RYDER ACT. Similarly, RYDER ACT neverassumes the liability of any loss or damage which may arise from the use of such links is.

21. WRITTEN COMMUNICATION

Positive legislation requires that certain information and messages sent by RYDER ACT to the Customer shall be in written. When the customer uses the website of RYDER ACT to communicate electronically with the RYDER ACT, RYDER ACT informs the Customer by contacting Customer by email or by making notifications on the website.

Customer hereby declares that it accepts the electronic communication method and agrees that any contracts, notices, information and other communication methods provided electronically to Customer shall comply with any legal requirements required for such communication channels to be in writing. This condition does not affect Customer's legal rights.

22. NOTICES

All notices submitted to RYDER ACT must be in written. Customer expressly acknowledges and declares that RYDER ACT may notify Customer through email or postal address given by Customer in accordance with clause 22 and as stated herein. The notice shall be deemed to have been sent to the website immediately upon receipt, within 24 hours upon receipt of the email or within 3 days from the date of receipt of the notice.

In the case of a letter, the information that the letter has been sent, stamped and mailed; in the case of an e-mail, the information that an e-mail has been sent to the corresponding e-mail address will suffice.

23. TRANSFER OF RIGHTS AND OBLIGATIONS

This Agreement between RYDER ACT and the Customer obliges RYDER ACT, the Customer and their successors. Customer shall not transfer the Contract and any rights and obligations arising therefrom (except warranty) without the prior written consent. However, Customer may transfer to the person who acquires the warranty in article 17.4 of RYDER ACT. RYDER ACT may require that the person to whom the guarantee is transferred has reasonable proof that it is the owner of the product at that moment, for example by providing evidence of the purchase or the rights arising from the first Buyer or subsequent Buyer (in the current case) evidence such as a letter or letter chain indicating that they have been sent.

RYDER ACT may at any time, within the term of the Agreement, assign sub-contractor or transfer the rights and obligations arising out of the Contract. In order not to circumvent the doubt, such transfer does not reduce or limit the rights or obligations of the assignee, the assignor or directors as to the consumer's legal rights or the rights or remedies that RYDER ACT may have given to the Client either expressly or implicitly.

24. EXCLUSIVE CASES

RYDER ACT cannot be held responsible or liable for the events beyond the control of RYDER ACT including actions, events, failures, dismissals or accidents beyond reasonable control, and in particular include (without limitation):

1. Strikes, lockouts or other industrial actions.

2. Civil confusion, rebellion, occupation, threat of terrorist attack or terrorist attack, war (declared or not) or war threat or war preparation.

3. Fire, explosion, storm, flood, earthquake, collapse, epidemic or other natural disasters.

4. The impossibility of using railways, sea routes, air routes, motor vehicles or other public or private transport vehicles.

6. The acts, ordinances, regulations, regulations or restrictions of any government.

Any obligation of RYDER ACT under any Contract shall be suspended for the duration of the event beyond its control and shall be added to the RYDER ACT. RYDER ACT will make all reasonable efforts to find a solution that will allow it to terminate the event outside the control or to fulfil its obligations under the Contract, even if it is out of control.

25. DISCLAIMER

If RYDER ACT fails to enable Customer to perform the full performance of any of its obligations under the Agreement or other terms and conditions during the Agreement, or fails to use the rights or legal remedies contained in the Agreement, waives such rights or remedies, and Customer is exempt from compliance with these obligations, it does not mean any waiver from any default shall not constitute a waiver of any future default arising from the Contract or the Terms. No waiver of any of these Terms shall be deemed to have been waived unless expressly stated to be a waiver thereof and transmitted in writing in accordance with the paragraphs in the Notices section above.

26. SEVERABILITY

If any provision of this Agreement or the Contract is determined by any competent authority to be invalid, unlawful or unenforceable, such term, condition or provision shall be excluded from the remaining term, condition or provision, and the remainder shall remain in full force to the extent permitted by law.

27. RYDER ACT’S   RIGHT OF AMENDMENT

RYDER ACT reserves the right to update or amend these Terms from time to time. Customer will be subject to the Principles and Conditions in effect when using this website or when ordering products from RYDER ACT. Any potential change made by law or by the competent authority of the Government in the Terms or Privacy Statement shall also be applied to orders made by Customer in advance. This change does not affect Customer's legal rights.

28. AUTHORIZED COURT

RYDER ACT, from time to time, has the right to update or amend these Terms. Contracts on the use of Internet sites and the purchase of products through this website will be governed by the laws of the Republic of Turkey. Any dispute arising from the use of the Website or from the contract is subject to the jurisdiction of the Turkish courts. For any dispute arising from the contract between RYDER ACT and the Customer, the parties may apply to the Authorized Consumer Tribunal or the Consumer Arbitration Board. Nothing in this Article affects Customer's legal rights in this matter.

29. FEEDBACK AND COMPLAINTS

Customer's comments, complaints and feedback are important for RYDER ACT. . Customer can send all feedback and comments to RYDER ACT via contact form or via an e-mail to be sent to contact@ryderact.com .
